Terms and Conditions

1. Definitions and Interpretation

1.1. In these Terms the following definitions apply:

Customer means any school to whom Mindsetters supplies services or resources

Price means the price for the Services as set out in your invoice or the Educational Supervision and Coaching document.

All Mindsetters services prices are exempt from VAT.

Services mean the services to be provided by Mindsetters to the Customer as set out on the invoice for bespoke supervision and coaching or in the  Educational Supervision and Coaching document

Terms means the standard terms set out in these terms and conditions of business.

 

1.2. Any changes to these Terms are valid only if agreed in writing between Mindsetters and the Customer.

2. Appointment

2.1. The customer engages Mindsetters to provide services in line with the terms and conditions of this contract.

3. Mindsetters Services - Key Points

3.1. The quantity and costs of the Services shall be as set out in the Invoice for bespoke Supervision and Coaching or in the Educational Supervision and Coaching document for the Supervision and Coaching Programme.

 

3.2. It is the responsibility of the Customer to ensure the Services meet its requirements.

4. Price and Payment

4.1a. Mindsetters will invoice the Customer for the Services outlined in the Educational Supervision and Coaching Programme in full in advance of commencing the programme.

4.1b. Mindsetters will invoice the Customer for the Service outlined on the invoice for bespoke Supervsion and Coaching after the Service has been provided.

4.2 Unless the subject of a genuine dispute, the Customer shall pay the Price within 30 calendar days of receipt of a valid invoice (the “Due Date”).

4.3. Provision of Services cannot be guaranteed if full payment has not been received by the Due Date.

4.4. All amounts due under these Terms shall be paid in full without any deduction or withholding other than as required by law and neither party shall be entitled to assert any credit, set-off or counterclaim against the other party in order to justify withholding payment of any such amount in whole or in part.

4.5. Refunds will be considered in all cases should delivery of the Educational Supervision and Coaching programme Service not be possible due to sickness/ leave/ absence. Where this is the case a refund will be calculated for the sessions not provided in that year of the programme.

4.6 Where the Customer is unable to complete the Educational Supervision and Coaching programme due to sickness or having left the employment of the school a refund will be considered in all cases.

4.7 Where Mindsetters is unable to complete the bespoke Supervision and Coaching programme Service due to sickness/ leave / absence the customer may not be invoiced for the Service providing due notice is given and the case has been considered.

4.8 Mindsetters and the Customer will undertake to inform the other party of absence as soon as it is known such that alternative arrangements can be made to ensure the Service is delivered.

Terms and Conditions for Book Sales from Mindsetters

1. Introduction

1.1 These Terms and Conditions govern the sale of books by Mindsetters (hereinafter referred to as “we”, “us”, or “our”) to the buyer (hereinafter referred to as “you” or “your”). This applies to all books sold through our website.


1.2 By purchasing a book from us, you agree to be bound by these Terms and Conditions.

2. Book Details

2.1 We offer for sale books written solely by Tim Walters and jointly by Tim Walters and Deborah Setters.


2.2 All book descriptions and images are for illustrative purposes only and may not be entirely accurate.


2.3 We reserve the right to make changes to the availability of books at any time.

3. Price and Payment

3.1 All prices are in UK Pounds (£) and include VAT where applicable.


3.2 Payment can be made via credit/debit cards and online payment platforms


3.3 Payment must be made in full at the time of purchase.

4. Shipping and Delivery

4.1 We will ship e-books electronically to the email address provided.

4.2 For books sales of paperback versions delivery times are estimated and may vary depending on location and postal service.

4.3 Shipping costs will be calculated based on the published rates for the respective country and added to the cost of the book/s.

4.4 Delivery times will vary depending upon the country.

4.5 We are not responsible for any delays or damages during transit.

5. Returns and Refunds

5.1 You may return a book within 7 days of receipt if it is damaged or defective.

5.3 We will refund the full purchase price if the book is returned in its original condition.

6. Intellectual Property

6.1 All copyrights and other intellectual property rights in the books belong to the respective authors and publishers.

6.2 You may not reproduce, distribute, or modify any part of the books without the express written consent of the copyright holder.

7. Limitations of Liability

7.1 To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the sale of books.

7.2 Our liability is limited to the purchase price of the book.

8. Governing Law

8.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.

8.2 Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the English courts.
